Company Formation and Management Services

The Seychelles’ statute law on companies is contained in the Companies Ordinance, 1972 (Companies Ordinance) which was modelled on the old UK Companies Act. However the majority of companies incorporated for the purpose of international business are incorporated under the International Business Companies Act 1994 (IBC Act).

International Business Companies (IBCs)

IBCs are limited companies that carry out business activities outside of Seychelles. They are incorporated by the Registrar of International Business Companies, which is the Financial Services Authority (FSA). An IBC is subject to relaxed statutory requirements and the main features are as follows:

  • The certificate of incorporation can reflect the name of the company both in English/French and in any other language;
  • Must have at least one director and one shareholder, which may or may not be natural persons and may or may not be in the Seychelles;
  • Proper accounting records are required to be maintained that are sufficient to show and explain the IBC’s transactions and to enable the financial position of the IBC to be determined with reasonable accuracy at any time and for accounts to be prepared;
  • Registered shares may be issued in any foreign currency;
  • No minimum capital requirements;
  • Director(s) are required to submit a declaration report to the Registered Agent on a yearly basis;
  • Only the Memorandum and Articles of Association are on the public record;
  • Only the Memorandum and Articles of Association are on the public record;
  • Shareholder(s), director(s) and officer(s) are not required to make any other returns;
  • Meetings of shareholder(s) and director(s) are not required to be held in Seychelles.

Every IBC must have a registered office in Seychelles – at the same address as that of its registered agent – and a registered agent in Seychelles, which is required to hold a licensce that provides for the agent to carry on international corporate services under the International Corporate Service Providers Act 2003.

IBCs are created for conducting international business outside of Seychelles and are exempt from all forms of taxation. IBCs are ideal for a wide variety of uses such as holding companies, asset protection, patents and copyright holding companies.

Seychelles Companies with Special Licenses (CSLs)

The Seychelles CSL is a local tax resident company specially licensed under the Companies (Special Licences) Act 2003 by the Financial Services Authority (FSA) and is subject to a tax rate of 1.5% of its worldwide (gross) income. It is incorporated as a domestic company under the Companies Act 1972 but awarded a special license by FSA which grants the company a special status as it benefits from access to the Seychelles’ growing network of double tax treaties and can also operate part of its business within Seychelles.

This rate of tax is applied to the taxable income of the company and, in respect of other items of taxation, such as dividends paid to residents and to non-residents and royalties paid to non-residents in respect of copyright, patents, designs, models, plans, trademarks or in respect of the supply of scientific, technical, industrial or commercial knowledge, information or services, there is no withholding tax.

Protected Cell Companies (PCC)

Under the Protected Cell Companies Act, 2003 a company incorporated under the Companies Act 1972 can be authorized to divide into identifiable cells without having to assume a separate legal entity. Cells within a PCC are protected against liabilities incurred by cells of the same company making it an attractive solution for many business activities such as captive insurance or mutual funds businesses.

Limited Partnerships

Limited Partnerships are registered under the Limited Partnership Act 2003 and are subject to the Seychelles Commercial Code. Under the Act limited partnerships must carry out its business activities outside the Seychelles and enjoys benefits such as exemptions from:

    • Stamp duty
    • Exchange Controls
    • Trades tax (custom duties) on capital goods for use in its office
    • Social security contributions
    • Work permit fees in respect of foreign employees

Once a Seychelles entity is incorporated, we provide a domiciliary service, which includes the provision of company secretarial, registered office and nominee shareholder services. Full management services from our own licensed corporate directors are also available and highly advisable in most cases. Re-mailing services are available at modest cost for all companies established by Sovereign.

Trusts have many applications and advantages, including the protection and preserving of assets, tax planning or just avoiding the expense and delays of obtaining probate under a will. They also provide a high degree of confidentiality. Trusts set up under the International Trust Act 1994, provide an efficient, sensible and legitimate means of protecting your assets depending on your requirements. There are various purposes for trusts and these include property-holding trusts, charitable trusts or purpose trusts which are not used for the benefit of individuals, but for some specific purpose.
